Introduction

These Terms and Conditions govern access to and use of SoftDrop, a marketplace for digital products and services. SoftDrop is operated by Himanshu Priyadarshi, with registered address at Room 4, 4th Floor, Block B, Aquamarine Hostel, IIT (ISM) Dhanbad, Jharkhand 826004, India.

By creating an account, listing a product or service, buying through SoftDrop, or using any marketplace feature, you agree to these Terms and to the Privacy Policy, Refund Policy, Shipping Policy, Seller Guidelines, Community Guidelines, and Copyright Policy.

Eligibility and Accounts

  • You must be at least 18 years old and legally capable of entering a binding contract.
  • You must provide accurate account, contact, billing, tax, and payout information.
  • You are responsible for keeping your password, devices, and account access secure.
  • You may not impersonate another person, misrepresent a business, use fake reviews, or operate accounts to avoid policy enforcement.

Marketplace Model

SoftDrop connects buyers and sellers of digital products and services. Buyers pay through SoftDrop checkout. Payments are collected through SoftDrop using Razorpay-supported payment services. Seller payouts are processed manually after successful delivery and review.

SoftDrop is not currently using Razorpay Route or Razorpay Marketplace automated payout routing. SoftDrop may later move to automated marketplace payouts, payment aggregation, split settlement, or another compliant payout architecture.

Listings and Seller Responsibility

  • Sellers must describe digital products and services honestly, including scope, dependencies, license terms, support, delivery timeline, and refund terms.
  • Sellers must have all rights needed to sell, license, transfer, or deliver the listed item or service.
  • SoftDrop may review, edit visibility, reject, suspend, or remove listings that are misleading, illegal, unsafe, infringing, or otherwise unsuitable.
  • Listing approval does not mean SoftDrop guarantees the seller, product performance, business outcome, code quality, revenue, or legal compliance.

Purchases and Order Activation

Prices are generally displayed in Indian Rupees unless stated otherwise. Taxes, GST, platform charges, payment processing charges, and other applicable amounts may be added or deducted as required.

An order becomes active only after successful payment confirmation. SoftDrop may cancel or pause an order if payment fails, appears fraudulent, violates policy, or creates legal or operational risk.

Seller Payouts and Platform Fee

Seller payout means the amount payable to the seller after successful delivery, after deducting SoftDrop commission, applicable taxes, refunds, chargebacks, payment gateway fees, processing costs, penalties, adjustments, and amounts required by law or policy.

Payouts are currently manual. SoftDrop may require identity, tax, invoice, bank, UPI, GST, or business verification before releasing payout. SoftDrop may withhold, delay, reverse, or set off payout where there is a dispute, suspected fraud, chargeback risk, legal notice, policy violation, or incomplete delivery.

Digital Delivery and Buyer Responsibilities

  • Digital products may be delivered by download, repository access, cloud link, hosted deployment, license key, email, SoftDrop chat, or another digital method stated in the listing.
  • For services, buyers must provide required inputs, credentials, approvals, content, or feedback within a reasonable time.
  • Buyers must not misuse delivered files, resell them beyond the license, remove attribution where not permitted, reverse engineer restricted products, or share private seller materials outside the permitted scope.

Intellectual Property

Unless a listing clearly transfers ownership, the buyer receives only the license or usage rights described in that listing. Some products may be sold as templates or non-exclusive digital goods, while custom services may include broader transfer terms if expressly agreed.

Sellers keep responsibility for ensuring that their listings do not infringe copyright, trademark, trade secrets, privacy rights, open-source licenses, or third-party platform terms. Copyright complaints are handled under the Copyright Policy.

Prohibited Content and Conduct

  • Pirated software, cracked tools, stolen code, malware, credential theft tools, phishing kits, spam tools, illegal products, counterfeit goods, or infringing content are prohibited.
  • Users may not bypass SoftDrop payment flow, solicit off-platform payment, manipulate reviews, harass users, share private contact details where restricted, or interfere with platform security.
  • SoftDrop may suspend accounts, cancel orders, remove listings, block payouts, report unlawful activity, and preserve evidence where necessary.

Refunds, Cancellations, and Disputes

Refunds are governed by the Refund Policy. Because SoftDrop sells digital products and services, refunds are usually limited once files are downloaded, access is granted, work has started, or a service has been used.

SoftDrop may investigate disputes for 5 to 10 business days or longer for complex matters, payment gateway reviews, bank delays, fraud checks, or legal requests.

Disclaimers and Limitation of Liability

SoftDrop is provided on an as-is and as-available basis. To the maximum extent permitted by Indian law, SoftDrop does not guarantee uninterrupted service, business results, listing revenue, buyer demand, third-party integrations, or fitness of any seller product for a particular purpose.

To the maximum extent permitted by law, SoftDrop liability for any claim is limited to the platform fee received by SoftDrop for the disputed order, or INR 5,000, whichever is lower. This does not exclude liability that cannot legally be excluded.

Governing Law and Jurisdiction

These Terms are governed by the laws of India. Courts at Dhanbad, India will have jurisdiction, unless applicable law requires a different forum.
